1. Interpretation
1.1 In these Conditions:
- “Company” refers to Signet Signs Ltd.
- “Customer” refers to the person, firm, organisation or company purchasing the goods or services from Signet Signs Ltd.
- “Goods” refers to all products, signage, and materials supplied by Signet Signs Ltd.
- “Services” refers to the installation or other services provided by the company.
- “Quote” refers to the written estimate provided to the customer for the supply of goods or services, valid for 60 days from the date issued.
- “Order” refers to the customer’s acceptance of a quotation and request for the supply of goods and/or services from Signet Signs Ltd.
- “Design Proof” refers to the visual representation or document provided to the customer to confirm the design details before production begins.
- “Contract” refers to the agreement between the company and the customer formed upon the customer’s acceptance of the quote.
- “Working Day” refers to Signet Signs Ltd normal working day. These will be 8am to 4:30pm Monday to Friday.
2. Quotations and Orders
2.1 Quotations are valid for 60 days unless otherwise specified. They are an invitation to treat and not a binding offer.
2.2 A quote is deemed accepted when the customer provides acceptance through one of the following methods:
- Verbally, via phone call (recorded phone system).

In writing, via an email clearly stating acceptance.
3. Design Proofs
3.1 It is the customer’s responsibility to check the design proofs thoroughly and ensure they are correct.
3.2 Colours displayed on the customers screen may differ from those of the finished product due to variations in the customers screen settings, including but not limited to, illumination levels, brightness, contrast, saturation, and colour temperature.
3.3 If accurate colour reproduction is critical, the customer must provide either a Pantone or CMYK colour reference to the company.
3.4 Raster images, including but not limited to JPG, GIF, TIF, PNG, supplied to us and used in the design proof may appear high quality when viewed at a smaller scale but could be pixelated when printed at full size. Images supplied to the company must be at least 50% of the final size and 150dpi (dots per inch).
3.5 The company is not responsible for the suitability or quality of artwork supplied by the customer.
3.6 If the customer wishes to ensure image clarity, they must request a sample print to ensure the quality meets the customers expectations. The company reserves the right to charge a fee to cover the cost of producing a sample print and any delivery costs associated with this.
3.7 A design proof is deemed approved when the customer provides approval through one of the following methods:
- Verbally, via phone call (recorded phone system).
- In writing, via an email.
- Through a web page, by entering the quote/order number, name, company name, and confirmation of approval.
3.8 By confirming approval of the design proof the customer confirms that:
- The proof is completely correct and the company has been given approval to manufacture the order.
- The customer assumes all responsibility for any errors on the approved proof that appear in the finished item(s) and agrees to cover any associated costs incurred.
- The customer has read and understood both the design proof and our terms and conditions.
3.9 The company will not be responsible for any errors or associated costs after approval of the design proof has been given.
3.10 Unless otherwise specified on the quote / sales order there is no charge for the creation of the artwork provided in the design proof.
3.11 All content created within the company’s design proofs, is protected by intellectual property rights (IPR) law and may not be reproduced or disclosed to third parties, including competitors, without written permission from Signet Signs Ltd.
3.12 Unauthorised use of the companies intellectual property will entitle the company to charge for artwork time spent in the creation of the aforementioned intellectual property at a rate of £100 + VAT per hour, not limited to but including compensation for any loss of earnings, legal fees, and associated costs.
3.13 Customers wishing to use the company’s intellectual property must first purchase the rights from the company and provide written notice detailing its intended use.
4. Price and Payment Terms
4.1 The price of the goods and services shall be the price set out in the quotation, or sales order where a quotation was not provided, as provided by Signet Signs Ltd, exclusive of VAT unless otherwise specified.
4.2 Payment terms will be shown on the quotation, or sales order where a quotation was not provided, as provided by Signet Signs Ltd, and vary based on the customer’s account with Signet Signs Ltd, and may include:
- Pro-forma payment in advance.
- 50% deposit before commencing work, with the remaining 50% payable upon completion of works and due on receipt.
- 30-day payment terms from the date of the invoice.
4.3 Credit terms are not automatically given and are subject to a credit check. If credit terms are approved for the customer, they will be confirmed in writing.
4.4 Signet Signs Ltd reserves the right to charge interest on overdue payments at 8% above the base rate from the due date until full payment is made. Interest is calculated daily and shall accrue after as well as before any judgement.
4.5 The company will also seek to reclaim legal fees, court costs, and any other costs incurred in recovering outstanding amounts.
5. Delivery
5.1 The Delivery Address shall be as specified within the Sales Order.
5.2 Delivery Timeline: Signet Signs Ltd aims to dispatch goods within 2 working days of order completion.
5.3 Damages: Any damages must be reported in writing accompanied with a photograph of the damage within 48 hours of receipt of the goods
5.4 Deadlines: If a specific deadline is critical, this must be communicated clearly in writing before the order is confirmed. While Signet Signs Ltd will make every effort to meet the deadline, the company accepts no liability for missing the deadline.
5.5 Delivery Failures: If the delivery cannot be made due to incorrect or uncommunicated changes to the delivery address, or circumstances within the customers control, a re-delivery fee will apply. This fee will include the cost of returning the items to us and delivering them to the correct address. Signet Signs Ltd is not liable for any items lost under these circumstances.
6. Installation
6.1 Installation Date: Signet Signs Ltd will arrange a date for installation with the customer.
6.2 Customer Responsibilities:
- The customer must ensure the site is ready for installation on the agreed date or dates, with clear access and no interference from other works.
- The customer is responsible for notifying Signet Signs Ltd of any changes to the site after any surveys have been conducted by Signet Signs Ltd. If changes occur that were not communicated and result in additional costs for Signet Signs Ltd, the customer will incur those additional charges.
- The customer is responsible for ensuring that either they or an authorised representative, with the authority to make decisions, is present on-site to meet the installation team and provide any necessary instructions before work begins. Signet Signs Ltd will follow the instructions provided, and will not be held responsible for any issues arising from incorrect or incomplete instructions given by the customer or their representative.
6.3 Cancellations: If the installation date is cancelled with less than 2 working days, Signet Signs Ltd reserves the right to charge for any costs incurred, including, but not limited to, accommodation, machinery hire, or loss of installation time. A cancellation charge of a minimum of one day’s installation will also apply.
6.4 RAMS (Risk Assessment Method Statements): RAMS must be requested a minimum of 2 weeks in advance to ensure sufficient time for preparation and delivery to the customer. If the customer requires company-specific RAMS (their own documents), Signet Signs Ltd reserves the right to charge based on the time required to complete them.
7. Changes and Amendments
7.1 Any changes or amendments made after the customer’s approval of the design proof may result in additional charges, depending on the stage of production.
8. Warranties
8.1 All goods are covered by a 12-month warranty against fading, material defects, and workmanship.
8.2 The warranty does not cover damage caused by improper maintenance, abnormal weather conditions, or customer modifications after installation.
8.3 The warranty is void if any alterations or repairs are made to the signage by parties not authorised by Signet Signs Ltd.
9. Risk and Ownership
9.1 Risk in the goods passes to the customer upon delivery.
9.2 Ownership of the goods remains with Signet Signs Ltd until payment is received in full. If payment is not made, Signet Signs Ltd reserves the right to reclaim the goods.
10. Returns and Non-delivery
10.1 The customer must notify Signet Signs Ltd in writing of any defects or damage within 48 hours of delivery including photographic evidence of the defects / damage.
10.2 Signet Signs Ltd does not accept returns of bespoke items.
10.3 Signet Signs Ltd does not accept returns unless agreed in writing.
10.4 A return does not automatically result in a refund or part refund.
11. Limitation of Liability
11.1 Signet Signs Ltd’s liability for defective goods is limited to the repair or replacement of the goods or a refund of the purchase price, if applicable.
11.2 Signet Signs Ltd will not be liable for indirect or consequential loss arising from delays, non-delivery, or defects in the goods.
12. Severence
In the event that any clause or part of a clause within these terms is found to be unlawful, invalid, or otherwise unenforceable, that clause or part shall be deemed severed from the remainder of these terms. The remaining provisions shall continue to be valid and enforceable.
13. Termination
13.1 Signet Signs Ltd reserves the right to terminate the contract if the customer fails to make payments or becomes insolvent.
13.2 Upon termination, the customer will be liable for all outstanding payments, and Signet Signs Ltd will reclaim any goods not paid for.
14. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of England and Wales.
